Pricing of Convertible Bond Offering – 03 October 2013

The UNITE Group plc Convertible Bond Offering

The UNITE Group plc (the “Company” or “UNITE”) announces the final terms of its offering (the “Offering”) of £89.9 million of senior, unsecured Convertible Bonds due 2018 (the “Bonds”), as announced earlier today. The Bonds will be issued by Unite Jersey Issuer Limited (the “Issuer”) and guaranteed by the Company.

The Bonds will have a coupon of 2.5% per annum payable semi-annually in arrear and will, subject to certain conditions, be convertible into fully paid ordinary shares of the Company (the “Shares”). The initial conversion price has been set at 509.73 pence per Share, representing a premium of 35% above the volume weighted average price of the Company’s Shares from launch to pricing and a premium of 41% above the Group’s last reported NAV per share. The Bonds will rank pari passu to the Company’s other unsecured debt.

Settlement is expected to take place on or about 10 October 2013.

This issue is another milestone in the Group’s strategy in diversifying its sources of funding and will contribute to lowering the Group’s cost of debt, extending its debt maturity, strengthen the balance sheet and help achieve our target of 4.5% earnings yield by 2015.
